LAWSON Proposes Partial Amendments to Articles of Incorporation

LAWSON, INC. has announced that the Board of Directors today resolved to seek shareholder approval for partial amendments to its Articles of Incorporation. The proposed amendments will be put to shareholders at the 32nd Ordinary General Meeting of Shareholders scheduled for May 25, 2007.

I.Reason for Amendments
(1) LAWSON proposes adding payment agency, photography and copying businesses to Article 2 of the current Articles of Incorporation to allow it to expand service provision in franchise operations.

(2) LAWSON proposes changing the location of the head office in Article 3 of the current
Articles of Incorporation from Suita, Osaka Prefecture, to Shinagawa-ku, Tokyo, the location of its Tokyo office, to achieve improved operational efficiency. This change is to take effect on June 1, 2007.
